Overview

Our Real Estate Transactions practice is among the largest in Central Florida. We assist clients with virtually every type of commercial real estate transaction, both locally and across the country.

We represent domestic and foreign individuals, corporations, partnerships, limited liability companies, Real Estate Investment Trusts (REITs), and other entities in a wide variety of complex real estate matters.

Our multidisciplinary team provides technical and practical advice to our clients in connection with the acquisition or sale of commercial real estate of all types, including vacant land, shopping centers and regional malls, office buildings, industrial and warehouse facilities, apartment projects, entertainment complexes, restaurants and retail, single-family residential subdivisions, hotels and motels, agricultural land, golf courses and other resort-related developments.

We assist our clients with:

  • Negotiation of contracts for purchase and sale
  • Due diligence as required
  • Negotiation of transfer documents
  • Finalization of the closing
  • Alternative structures for minimizing closing costs, federal or state income taxes, and potential liability to third parties
  • Obtaining necessary consents or approvals required for a particular transaction from third parties, including state or local governmental authorities
  • Federal, state or local governmental reporting/disclosure requirements

Many of our Central Florida clients have real estate interests throughout Florida and in other states. From nationally known REITs to individual investors, we handle and coordinate the due diligence and legal counsel needs on transactions throughout the country.

Our attorneys frequently serve as local Florida counsel on real estate transactions for clients based outside of Central Florida. Often times, we assist clients with their first-ever commercial real estate acquisition within Florida. We also regularly work with in-house counsel and outside historical counsel to achieve successful and cost-efficient closings.
