Commercial Leasing
The Lowndes, Drosdick, Doster, Kantor & Reed, P. A. commercial lease real-estate practice is national in scope and regularly advises and assists our clients regarding real estate matters in virtually all states. We have developed a network of due diligence providers and have forged working relationships with national offices of title insurers, surveyors, appraisers, environmental and others engineers. Our working relationship with these providers and our relationship with Meritas (the world's largest network of independent business law firms) enables us to provide significant value to the client and its real estate needs.
Acquisitions - Assisting institutional lenders, REITs and other investors in the acquisition of leased real estate, including free standing retail and restaurant facilities, on a national basis. Coordinating all aspects of closing with national service providers, including title insurance companies, surveyors, environmental and other engineers, appraisers, and other due diligence providers. We have particular expertise in large, multi-site acquisitions for REITs and other investors, and tax-deferred exchanges. We employ multi-faceted technological solutions, systematized due diligence review and a team approach to decrease the time necessary to reach a successful closing.
Leases - Preparing, reviewing and negotiating triple net leases for investors in the retail and restaurant industry, including free standing net leases, space leases and ground leases, for out parcels to shopping centers, in-line centers, malls, hotels and other locations. We also have extensive experience both in traditional and evolving finance leases, including synthetic leases, capital leases, and lease-on-lease financing arrangements.
Due Diligence Review - We are familiar and have worked extensively with due diligence review in virtually every state. Our review includes:
Title Insurance - Reviewing and resolving title issues which are both typical and local to the property jurisdiction, including easements, exclusive rights, access, oil, gas and water reservations and specialized title endorsements.
Survey - Since we work with a number of national survey providers on a regular basis, we are able to coordinate and obtain surveys which are uniform in approach and immediately useable by the client.
Environmental - We review and are intimately familiar with all types of environmental reports, including ASTM Phase I and Phase II Reports, transaction screens, tank removal reports and database searches. We regularly counsel our clients regarding on-site and off-site contamination issues. We have assisted our clients in the evolving area of environmental insurance, and have negotiated with environmental insurance providers with respect to policies, coverages, deductibles and other matters.
Other Matters - We routinely work with inspecting engineers, appraisers and others regarding zoning compliance issues, such as required parking and setbacks, grandfathering and use.
Local Counsel - Where it is necessary to engage local counsel on a matter, we have access to Meritas members worldwide.
Lending - We have significant experience in the creation of loan programs for non-bank lenders for the restaurant industry, in obtaining mortgage lending licenses from virtually every state, in creating and negotiating loan documents on a national basis, and in closing the loans.
Securitization - We have experience in structuring commercial real estate transactions which are securitized in the secondary markets, and in connection therewith have worked with the major rating agencies and securitization lenders in securitizing loans for which we handled the initial closing.
