Representative Client Experience
- Responsible for all state licensure and regulatory issues for a $262 million acquisition of 21 senior living facilities in 12 states by a real estate investment trust (REIT) client.
- Structured, negotiated, and drafted the documents necessary for various mergers and acquisitions of both publicly-held and closely-held client companies, including a $120 million merger of an Orlando based corporation into a publicly-held company.
- Structured, negotiated, and drafted the document for the sale and acquisition of various health care providers, including hospitals, skilled nursing facilities, and group medical practices.
- Negotiated favorable settlement with the U. S. Department of Justice on behalf of a client hospital in a False Claims Act case.
- Drafted and negotiated senior executive employment agreements on behalf of client companies, including deferred compensation and stock option provisions.
- Drafted and negotiated employment agreements and independent contractor agreements on behalf of client hospitals, medical group practices, and individual physicians.
- Drafted and negotiated various health care agreements for compliance with the Stark II Law, the Anti-Kickback Statute, and the Florida Patient Self-Referral Act, including joint venture agreements, physician recruitment agreements, leases, and compensation arrangements for physician-shareholders of multi-specialty group medical practices.
- Formation of corporations, limited partnerships, limited liability companies, joint ventures and other entities.
- As General Counsel of publicly-traded, national hospital company responsible for all state and federal health care regulatory compliance, mergers and acquisitions, joint venture agreements, employment and independent contractor agreements, and risk management for over 15 hospitals and other company owned clinics and facilities.
